Reparcelacion urbanistica is the urbanistic operation that groups or restructures fincas, parcels or solares within a unidad de ejecucion, divides them anew to match the applicable urbanistic plan, and adjudicates the resulting buildable land to owners in proportion to their rights while ceding obligatory land to the administration. It is defined in Article 92 of Andalusia’s planning law (the LISTA, Ley 7/2021), which replaced the earlier LOUA (Ley 7/2002) in December 2021. For a landowner or developer in Andalusia, reparcelacion is the mechanism that turns a collection of separate plots into a coherent buildable layout with roads, services and public space.

What does reparcelacion urbanistica mean under Andalusian law?

Under Article 92.1 of the LISTA, reparcelacion is the urbanistic operation consisting of the grouping or restructuring of fincas, parcels or solares contributed within an ambito de actuacion or unidad de ejecucion, for their new division adjusted to the applicable urbanistic planning instruments, with adjudication of the aprovechamiento lucrativo (buildable yield), edificabilidad or resulting fincas to interested persons in proportion to their respective rights, and the cession and adjudication to the acting administration of the obligatory cessions.

The key word is restructure. A landowner does not simply divide their plot, they pool it with others and receive back a new, planned parcel that conforms to the urbanistic instrument. The law allows reparcelacion to proceed voluntarily or forzosa (compulsorily), and in especie (in kind, through land) or through indemnizacion sustitutoria (substitute indemnification where land is not practicable). This dual-track design is what makes it the primary equidistribution tool in Andalusian urban execution.

The state-level framework sits alongside it. Article 18 of the Real Decreto Legislativo 7/2015 (the consolidated state land law, TRLSRU) sets the duties linked to urban transformation: delivering land for roads and public spaces, delivering a percentage of buildable land to the public patrimony (between 5 and 15 per cent generally, up to 20 per cent exceptionally), and funding and executing urbanisation works. Reparcelacion is the instrument that distributes those duties across all owners in the unidad de ejecucion.

When is reparcelacion used instead of parcelacion?

Reparcelacion and parcelacion are often confused but serve fundamentally different purposes. Parcelacion (LISTA Article 91) is the simultaneous or successive division of land into parcels. In suelo urbano, any division counts. In suelo rustico, division that could induce new settlements counts, and parcelacion is outright prohibited there (Article 91.7). Parcelacion does not restructure the overall plot configuration, it simply splits what exists.

Reparcelacion, by contrast, groups all fincas in the unidad de ejecucion and creates an entirely new plot layout. It does not divide one owner’s land, it reconfigures everyone’s. What are the effects of a reparcelacion approval?

Article 92.3 of the LISTA lists the effects of the approval agreement, and they are substantial:

  • Transmission to the Ayuntamiento: The agreement transmits to the municipality, in full dominion and free of charges, the terrenos or fincas of obligatory cession for incorporation into the public land patrimony or assignment to the uses envisaged in the plan (Article 92.3.a).
  • Definition and adjudication of resulting fincas: The agreement defines and adjudicates the fincas resulting from the urbanistic action or transformation (Article 92.3.b).
  • Distribution of burdens and benefits: Cargas and beneficios are distributed among owners and other rights holders proportionally (Article 92.3.c).
  • Registry afectacion: The resulting fincas are affected in the Land Registry to the fulfilment of the corresponding urbanistic obligations and duties, with a marginal note on the registry folio of the affected fincas (Article 92.3.d).

At the state level, Article 23 of the TRLSRU confirms that the approval of distribution instruments produces the subrogacion (subrogation) of the original fincas by the resulting ones, and repartition of their titularidad among owners, the promoter (where remunerated through adjudication of parcels) and the administration. Critically, Article 23.7 provides that transmissions arising from distribution operations are exempt from ITP (Impuesto sobre Transmisiones Patrimoniales) and AJD, and do not constitute transmissions for the purposes of the plusvalia municipal (the tax on land value increase). This tax treatment is a significant practical advantage for owners in a reparcelacion.

How does reparcelacion interact with the three sistemas de actuacion?

The LISTA Article 100 establishes three systems of actuacion for each unidad de ejecucion: compensacion (private management), expropiacion (public) and cooperacion (public). Reparcelacion plays a role in two of the three.

Compensacion (Article 101)

The compensacion system is the most common private-led route. Under Article 101.3, the compensacion system entails reparcelacion, which can be forzosa, for the just distribution of benefits and burdens. Owners who have not previously opted in must decide between (a) participating in the Junta de Compensacion, choosing either to pay the assessed urbanisation costs in cash or to cede part of their buildable land after reparcelacion, or (b) not participating, renouncing their right to join the Junta and requesting expropiacion of their land.

Article 101.4 adds the compulsory dimension: owners who make no choice by the end of the information-public period for the Junta’s statutes and bases de actuacion are subject to reparcelacion forzosa, ceding part of their buildable land, edificabilidad or resulting fincas of equivalent value to cover their share of urbanisation costs. This is the mechanism that ensures non-participating owners cannot hold up a development.

Cooperacion (Article 106)

Under Article 106.2, the cooperacion system is executed through reparcelacion of the terrenos within the unidad de ejecucion. Here the administration drives the process but the land is not taken, it is reconfigured. Owners who do not choose a payment modality for urbanisation costs are deemed to opt for payment in kind and are bound to the forzosa aportacion through reparcelacion (Article 106 implied via Article 107).

Expropiacion (Article 105)

What happens when land cannot be physically redistributed?

Article 92.4 of the LISTA provides a practical safety valve. When circumstances arising from existing edifications or constructions, or similar factors, make the redistribution of terrenos impracticable or very difficult to carry out, in whole or in part of the unidad de ejecucion, reparcelacion can be limited to establishing the corresponding economic indemnifications for those terrenos, with the configuration and boundary rectifications that proceed.

The same approach is available even without those circumstances, when owners representing 50 per cent of the total surface of the ambito de actuacion or unidad de ejecucion accept it, with the purpose of avoiding the constitution of pro indiviso (undivided co-ownership) interests. This provision prevents situations where physical restructuring would create unusable fragments or force unwilling co-ownership on participating owners.

Article 92.7 adds a further flexibility for suelo urbano transformation: reparcelacion can, with justification, adjudicate fincas constituted under the regimen de propiedad horizontal as resulting fincas. This is relevant for urban renewal projects where the plan envisions horizontal-ownership buildings rather than individual plots.

How long does the reparcelacion process take?

The LISTA sets clear procedural timelines in Article 92.5:

  • Initiated at the request of an interested party: The maximum period for ratification or approval of the reparcelacion project by the acting administration is four months from the submission of the application to the electronic registry. If no resolution is notified within this period, the interested party is entitled to consider it approved or ratified by administrative silence (silencio administrativo).
  • Initiated de oficio: The maximum period for approval of the reparcelacion project is three months from the agreement to submit it to public information. Expiry of the maximum period without an express resolution produces the caducidad (lapse) of the procedure.

The distinction between positive silence (for party-initiated procedures) and caducidad (for ex officio procedures) is deliberate. It rewards private initiative by deeming approval on inaction, while protecting public-interest procedures from indefinite extension.

How does the unidad de ejecucion relate to reparcelacion?

The unidad de ejecucion is the operational unit for systematic urban execution. Article 99.1 of the LISTA defines it as the ambit for the development of all the juridical and material operations necessary to execute the urbanistic instrument, including cession duties and the just distribution of benefits and burdens.

Article 99.6 creates a direct link: the delimitation of the unidad de ejecucion implies the afectacion of the fincas, parcels or solares to reparcelacion in the terms of Article 92.3, and the prohibition, until the approval of the reparcelacion project is firm in administrative via, of granting parcelacion and edification licences. This means that once a unidad de ejecucion is delimited, the land is effectively locked into the reparcelacion process. Owners cannot subdivide or build independently while the process unfolds, though exceptions exist for operations that facilitate the execution of the planning instruments according to the defined urbanisation phases.

What does the state land law require beyond Andalusian rules?

The TRLSRU (Real Decreto Legislativo 7/2015) sets the basic economic framework that Andalusian law implements. Article 18 lists the duties linked to the promotion of urban transformation:

  1. Delivering to the competent administration the land reserved for roads, open spaces, green zones and other public facilities included in the actuacion (Article 18.1.a).
  2. Delivering land free of urbanisation charges corresponding to the percentage of the weighted average buildability of the actuacion, generally between 5 and 15 per cent, with exceptional reductions or increases up to 20 per cent (Article 18.1.b).
  3. Funding and executing all urbanisation works foreseen in the actuacion, plus connection infrastructure to general service networks (Article 18.1.c).
  4. Delivering the works and infrastructure that must form part of the public domain (Article 18.1.d).
  5. Guaranteeing relocation of legal occupants who must be displaced (Article 18.1.e).
  6. Indemnifying holders of rights over constructions and edifications that must be demolished (Article 18.1.f).

What should a landowner do before a reparcelacion begins?

For a landowner whose property falls within a delimited unidad de ejecucion, the practical steps are to understand the applicable sistema de actuacion (compensacion, cooperacion or expropiacion), review the bases de actuacion when they are published, and decide whether to participate in the Junta de Compensacion if the compensacion system applies. Failing to decide means accepting reparcelacion forzosa with cession of buildable land.
